Confidentiality Agreement

This Non-Disclosure Agreement (NDA) governs the use of confidential information shared between Edbemwn and its users, partners, and stakeholders.

1. Definitions

  1. "Confidential Information" refers to any non-public information disclosed by Edbemwn, including but not limited to technical data, customer lists, business strategies, and product roadmaps.
  2. "Recipient" means any individual or entity receiving Confidential Information from Edbemwn.
  3. "Discloser" refers to Edbemwn and its employees, contractors, and affiliated entities.

2. Obligations

Recipient agrees to:

  1. Use Confidential Information solely for the purpose of evaluating Edbemwn services.
  2. Not disclose Confidential Information to third parties without prior written consent.
  3. Maintain reasonable security measures to protect Confidential Information.
  4. Return or destroy all Confidential Information upon request termination.

Breach of these obligations will be pursued through all available legal remedies.

3. Exceptions

  • Information already in the public domain through no fault of Recipient.
  • Information independently developed without use of Confidential Information.
  • Information received from third parties without confidentiality obligations.

"Information must be disclosed to public authorities shall not constitute a breach of this agreement."

4. Duration

This agreement shall remain in force for 5 years from last access by the Recipient. The obligations to maintain confidentiality shall not expire if the information is or becomes publicly available through means violating this agreement.

Term: 5 years from disclosure
Renewal: Automatic unless terminated in writing
